1. GENERAL

These Terms & Conditions apply to products purchased via www.flipslide.in or placed through Social Media, or offline on phone or chat or through our Customer Service Team, (“FlipSlide.in”) which are all assets managed by Flip Slide Concept (“Flip Slide”) and the users of the FlipSlide.in ("You" or "Your" or "Yourself" or "User") describe the terms on which the Flip Slide offers You access to the FlipSlide.in.
1.2. Please read the terms & conditions carefully before purchasing any products or availing any services on any asset of the Flip Slide. Any purchase made by you through the website or through any other asset shall signify your acceptance of the supply terms and your agreement to be legally bound by the same. In addition to the foregoing, you shall also be bound by the terms of use of the website, privacy policy, terms by the vendor or additional terms of service which are displayed with the selection of the product, if any ("additional terms"). If there is any conflict between the supply terms and the additional terms, the additional terms shall take precedence in relation to that sale.
1.3. If you do not agree with the supply terms, please do not access the website or any other asset of the Flip Slide for any purchase or service. By (i) using this FlipSlide.in or any facility or service provided via FlipSlide.in in any way; or (ii) merely browsing the FlipSlide.in, You agree that You have read, understood and agreed to be bound by these Terms and the Privacy Policy available at the homepage.
2. BUSINESS
2.1. The website is a platform that facilitate the online sale and purchase of shoe uppers and heels (“Products”) and services ("Services"). For point of clarity, the Products and Services are manufactured and sold, under the brand “Flip Slide”, which is owned by Flip Slide. Flip Slide delivers the product directly to you.
2.2. FlipSlide.in has the right to change or discontinue any service at any time, without notice. FlipSlide.in may add or modify the procedures, modes, processes or conditions of purchase at any time. FlipSlide.in shall not be liable to you or to any third party for any modification, suspension or discontinuance of any aspect of the services.
3. PRODUCT
3.1. FlipSlide.in enables the sale of products. Shipping for all the products on the website shall be per the business policy, which may be changed by FlipSlide.in from time to time.
3.2. In case you receive a damaged product, please get in touch with us at [email protected]. Damage will be assessed and a solution will be offered. The product may be replaced or other corrective measure may be taken to address the issue.
3.3 Incase the product is out of stock, our Sales Representative will get in touch with you and a refund request will be raised. For paid orders the refund will be processed directly into your debit/credit card or online account. The money will reflect on your card or in your bank account within 7 to 21 working days from when the refund request was raised. For Cash On Delivery (COD) payments, there will be no refund given as no payment was received by us.
4. SERVICES
4.1. You should take all responsibility for your own actions in utilizing the products purchased by you; FlipSlide.in shall not be liable for any such action.
4.2. You represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws as applicable in India.
5. USER ACCOUNT, PASSWORD AND SECURITY
5.1. The Flip Slide may make the Products and/or Services available to You only if You have provided Flip Slide certain required User information and / or created an account ("Account") through an Flip Slide ID and password or other log-in ID and password (collectively, the "Account Information"). The sale of Products and/or Services may also be subject to procedures for use of the Website, Terms of Offer For Sale, uploaded guide, rules, additional terms of service, or other disclaimer & notices, if any ("Additional Terms"). If there is any conflict between the Terms of Use and the Additional Terms, the Additional Terms shall take precedence in relation to that Products and/or Services.
5.2. You will be responsible for maintaining the confidentiality of the Account Information, and are fully responsible for all activities that occur under Your Account. You agree to (a) immediately notify Flip Slide of any unauthorized use of Your Account Information or any other breach of security, and (b) ensure that You exit from Your Account at the end of each session. In the absence of such notification from You, any purchase transaction made on the FlipSlide.in through Your Account and/or in Your name shall be binding on You. Flip Slide cannot and will not be liable for any loss or damage arising from Your failure to comply with these conditions. You may be held liable for losses incurred by Flip Slide or any other user of or visitor to the FlipSlide.in due to authorized or unauthorized use of Your Account as a result of Your failure in keeping Your Account Information secure and confidential.
5.3. You shall ensure that the Account Information provided by You in the FlipSlide.in's registration form is complete, accurate and up-to-date. Use of another user's Account Information for availing the Services is expressly prohibited.
5.4 If You provide any information that is untrue, inaccurate, not current or incomplete (or becomes untrue, inaccurate, not current or incomplete), or Flip Slide has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Flip Slide has the right to suspend or terminate Your Account and refuse any and all current or future use of the FlipSlide.in (or any portion thereof).
6. PRICING INFORMATION
6.1. The pricing information relating to the product shall be disclosed to you at the time of your purchase.
6.2. Prices and availability are subject to change without notice or any consequential liability to you.
6.3. While FlipSlide.in strives to provide accurate information relating to products, services including pricing information, typographical and other errors may occur. In the event that a product or service is listed with incorrect price or with incorrect information due to an error, FlipSlide.in may, at its discretion, contact you for instructions or cancel your order and notify you of such cancellation. FlipSlide.in will have the right to modify the price of the product and contact you for further instructions via the e-mail address provided by you at the time of registration, or cancel the order and notify you of such cancellation. If FlipSlide.in cancels the order after the payment has been processed, the entire amount will be remitted to your account from which the payment was made.
7. CREDIT CARD DETAILS
You might be required to provide your credit or debit card details to the approved payment gateways while making the payment. In this regard you agree to provide correct and accurate credit/debit card details to the approved payment gateways for availing services on the website. You shall not use the credit/debit card that is not lawfully owned by you. The information provided by you will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation or court order. You will be solely responsible for the security and confidentiality of your credit/debit card details. FlipSlide.in expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of your credit/debit card.
8. DELIVERY OF THE PRODUCT
Your shipping address and pin code will be verified with our logistics partner after the order has been placed. If your order is not serviceable by delivery partners, vendors, or your location is not covered by us, we would reach out to you and request to provide us with an alternate shipping address which we expect to have on our delivery partner’s/vendor’s delivery list. If there is any dispute regarding the shipment of the products or services for the area not covered by FlipSlide.in, we will not be held responsible for the non-delivery of the product and we will proceed for paid orders, which will be processed directly into your debit/credit card or online account. The money will reflect on your card or in your bank account within 7 to 21 working days from when the refund request was raised. For Cash On Delivery (COD) payments, there will be no refund given as no payment was received by us. . In case you book multiple orders for the products and services in one transaction, efforts will be made to ship all products together. However, this may not always be possible.
9. Cancellation, RETURN and refunds
9.1. Cancelation prior to delivery - You can cancel your order for any Product at any time prior to its delivery. For cancellation requests please get in touch with us on our customer care number or write to Us at [email protected]. Refunds will be made as per Flip Slide’s refund policy.
9.2. Cancellation/Return at the time of delivery - In case you are unhappy with a Product, you may return the same on the spot, at the time of delivery. Refunds will be made as per Flip Slide’s refund policy.
9.3. Cancellation/Return after Delivery: In order to return any products, you are required to comply with the below mentioned conditions, viz: Please notify FlipSlide.in of receipt of damaged/ defective product/service and all other instances of return within 15 days from when the product is delivered to you by getting in touch with our Customer Service Team Products should be unused FlipSlide.in will arrange a pick-up for its return orders. If FlipSlide.in is unable to do so, we will notify you regarding the same and you will be required to dispatch the product using a reputed courier in your respective area within one (1) day from receipt of such notice. Courier freight charges will be reimbursed in such a form as is determined by the logistics team upon prior consultation with FlipSlide.in Products should be returned in their original packaging along with the original price tags, labels, barcodes, user manual, warranty card and invoices etc. It is advised that the return packets should be strongly and adequately packaged so that there is no further damage to products during transit. In case of damaged/defective products, the returned products are subject to verification and checks by FlipSlide.in in order to determine the legitimacy of the complaint/return. We will try our best to resolve the issue by exchanging/returning the product. If a product returned is duly accepted by FlipSlide.in, refund will be made as per our refund policy.
9.4. Refund Policy: The value of said product, as originally paid by you will be refunded. The refund amount for the orders paid online or paid via credit/debit card at the time of delivery will be refunded within 5-20 working days from the date of initiating the refund through the online account, or will be refunded to the same card, depending on the most suitable circumstances as determined by Flip Slide. The refund amount for the order paid vide cash on delivery option, will be initiated within 5-10 working days, and the order amount will be credited to Your bank account via NEFT. A promo code, once used shall not be refunded in case of cancellation of order either by you or FlipSlide.in.
9.5. No Compensation Policy: If the quality of any products, services, information, or other material purchased or obtained by you through the website did not meet your expectations, no compensation will be given other than the return, credit voucher or exchange of the product. The customer cannot request compensation for any reason, including but not limited to: any variation in the finish or appearance of the final product; any delay in delivery caused by unforeseen circumstances; any special, incidental, indirect or consequential damage of any kind caused by a product; missed opportunities to avail certain discounts; any issue with our delivery partners or their personnel; any voucher which got deactivated due to the end of expiry date; unavailability of items which the customer tried to purchase etc. Unreasonable and unlawful requests for compensation, over and above the entitled refund, will be treated as loss to business cases. FlipSlide.in holds the rights to cancel orders and block accounts of such customers without any prior notice.

11. WARRANTIES AND CLAIMS
Please note the standard warranties and the conditions for usage of the products in relation to each product. No claim (a) that is contrary to the above or (b) where products have been used contrary to the conditions of usage; will be entertained.
12. INDEMNIFICATIONS AND LIMITATION OF LIABILITY
12.1. You agree to indemnify, defend and hold harmless Flip Slide from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Flip Slide that arise out of, result from, or may be payable by virtue of, any breach of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these supply terms or any additional terms applicable to the purchase of products.
12.2. In no event shall Flip Slide and its officers, owners, employees, partners or vendors be liable to you, the vendor or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not Flip Slide has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with your purchase of the products and services herein. Notwithstanding anything to contrary, Flip Slide’s entire liability to you under this Terms of Offer For Sale or otherwise shall be the refund of the money charged from you, under which the unlikely liability arises.
13. GOVERNING LAW
13.1. These Terms & Conditions and the relationship between you and Flip Slide shall be governed in accordance with the laws of India without reference to conflict of laws principles.
13.2. All claims, differences and disputes arising under or in connection with or in relation to the Terms & Conditions or any transactions entered into on or through the website or the relationship between you and Flip Slide shall be subject to the exclusive jurisdiction of the courts at Gurgaon, Haryana and you hereby accede to and accept the jurisdiction of such courts.
14. GENERAL TERMS FOR OFFERS, PROMOTIONS, CONTESTS
13.1. FlipSlide.in shall introduce various offers, promotions, contests from time to time. The terms and conditions for these shall be separately called out and FlipSlide.in reserves right to change/ modify/ add/ delete any of terms and conditions on such contests or promotions at its discretion at any time without prior intimation.
14.2. No promotional code and/or coupon can be used against any products from the Sale section.
14.3. While participating in such contests/ promotions, you hereby agree to release and hold FlipSlide.in harmless from any claims or demand.
14.4. Winners to contests will be decided by the team at FlipSlide.in and FlipSlide.in is not obliged or required to disclose the mechanism of the same.
14.5. FlipSlide.in reserves the right to vary any of the terms and conditions of the contest and the decision of FlipSlide.in shall be valid and binding on the contestants.
14.6. All personal information collected, in the course of this contest shall be kept confidential. FlipSlide.in shall use such information for communicating various marketing and promotional activities, subject to the contestant’s choice to receive such communications, while entering the contest.
14.7. The participant's profile must be public. Entries from private profiles can't be viewed and therefore will be considered invalid.
14.8. If @Flipslide.in regrams or shares any participants photo that does not mean that participant is a winner. A participant will only be considered a winner once FlipSlide.in explicitly declares the same.
14.9. Entries being featured on FlipSlide.in instagram handle and facebook page are entirely up to the discretion of FlipSlide.in.
14.10. If any entry is found to have abusive and profane language, or an attempt to attack the integrity, personality of any individual or an entity or where there is any attempt to harass any individual or entity or doing/having anything which in our view is demeaning or derogatory, such entry shall stand disqualified and or deleted from the contest and content.
14.11. All other terms and conditions on the website www.flipslide.in, not in conflict with these terms and conditions, shall prevail.
14.12. All dispute based on this contest is subject to arbitration and jurisdiction of all such dispute shall be within the Courts of Gurgaon, Haryana.
14.13. This contest is void where prohibited by law.
15. User obligation
15.1. Subject to compliance with the Terms of Use, Flip Slide grants You a non-exclusive, limited privilege to access and use this FlipSlide.in.
15.2. You agree to use the FlipSlide.in and the materials provided therein only for purposes that are permitted by: (a) the Terms; and (b) any applicable law, regulation or generally accepted practices or guide in the relevant jurisdictions.
15.3. You agree to adhere to all limitations on dissemination, use and reproduction of any materials (such as the Product catalogues) that You will access the FlipSlide.in in accordance with the Terms and particularly Section 8 and 10 below.
15.4. You agree not to access (or attempt to access) the FlipSlide.in and the materials or Services by any means other than through the interface that is provided by Flip Slide. 15.6. If the FlipSlide.in allows You to post and upload any material on the FlipSlide.in, You hereby undertake to ensure that such material is not offensive and is in accordance with applicable laws. Use any device or software to interfere or attempt to interfere with the proper working of the FlipSlide.in or any transaction being conducted on the FlipSlide.in, or with any other person's use of the FlipSlide.in; Use the FlipSlide.in or any material or Content for any purpose that is unlawful or prohibited by the Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of Flip Slide or other third parties; Conduct or forward surveys, contests, pyramid schemes or chain letters; Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; Violate any code of conduct or other guide, which may be applicable to the FlipSlide.in; Violate any applicable laws or regulations for the time being in force within or outside India; Violate the Terms including but not limited to any applicable Additional Terms; and Reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the FlipSlide.in.
15.7. You agree that You are solely responsible to Flip Slide and to any third party for any breach of Your obligations under the Terms and for the consequences (including any loss or damage which Flip Slide or its affiliates may incur or suffer) for any such breach.
15. Privacy policy
You confirm that you have read and fully understand the Privacy Policy of Flip Slide in respect of the FlipSlide.in. You further consent that the terms and contents of such Privacy Policy are acceptable to You.
17. Newsletters and communication
You hereby expressly agree to receive communications and newsletters from Flip Slide by SMS and e-mails. You can unsubscribe / opt-out from receiving communications and newsletters from Flip Slide at any time by following the procedure set forth in the newsletters.
18. intellectual property rights
18.1. The FlipSlide.in and the processes, and their selection and arrangement, including but not limited to all text, graphics, user interfaces, visual interfaces, images, sounds and music (if any), artwork and computer code (collectively, the "Content") on the FlipSlide.in is owned and controlled by Flip Slide and the design, structure, selection, coordination, expression, look and feel and arrangement of such Content is protected by copyright, patent and trademark laws, and various other intellectual property rights.
18.2. The trademarks, logos and service marks displayed on the FlipSlide.in ("Marks") are the property of Flip Slide s. You are not permitted to use the Marks without the prior consent of Flip Slide.
18.3. Flip Slide owns all intellectual property rights to the trademark "Flip Slide" and variants thereof, and the domain name, including, without limitation, any and all rights, title and interest in and to copyright, related rights, patents, utility models, designs, know-how, trade secrets and inventions (patent pending), goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks.
18.4. Except as expressly provided herein, You acknowledge and agree that You shall not copy, republish, post, display, translate, transmit, reproduce or distribute any Content through any medium without obtaining the necessary authorization from Flip Slide.
19. general provisions
19.1. Notice: All notices from Flip Slide will be served by email to the account designated by you or by general notification on the FlipSlide.in. Any notice to be provided to Flip Slide pursuant to the Terms should be sent to [email protected].
19.2. Assignment: You cannot assign or otherwise transfer the Terms, or any rights hereunder to any third party. Flip Slide's rights under the Terms of Use are freely transferable by Flip Slide to any third parties without the requirement of seeking Your consent.
19.3. Severability: If a court of competent jurisdiction finds any provision of the Terms, or portion thereof, to be unenforceable, the same shall not affect the provisions of any other portion of the Terms. In any event, such provision shall be enforced to the maximum extent permissible so as to give effect to the intent as reflected by that provision.
19.4. Waiver: Any failure by Flip Slide to enforce or exercise any provision of the Terms, or any related right, shall not constitute a waiver of that provision or right.
19.5. Feedback and Information: Any feedback You provide to this FlipSlide.in shall be deemed to be non-confidential. Flip Slide shall be free to use such information on an unrestricted basis. Further, by submitting the feedback, You represent and warrant that (i) Your feedback does not contain confidential or proprietary information of You or of third parties; (ii) Flip Slide is not under any obligation of confidentiality, express or implied, with respect to the feedback; and (iii) You are not entitled to any compensation or reimbursement of any kind from Flip Slide for the feedback under any circumstances.
19.6.Exactness Not Guaranteed: Flip Slide tries its best to deliver Products and Services exactly the way they are described on the FlipSlide.in. However, the nature and tendency of natural material based products is that each piece of furniture is unique in its own way. Flip Slide hereby disclaims any guarantees of exactness of the finish or appearance of the final Products or Services ordered by the User over and above generally acceptable standards on the same. The quality of the Products, Services, information, or other material purchased or obtained by you through the FlipSlide.in may not meet your expectations.
